Terms and Conditions

The Chest Order, together with the Licence Terms and Conditions, and any exceptions listed below, create a legally binding contract between your institution, organisation or company and the Licensor. Therefore please read the terms and conditions carefully and only submit a Chest Order if its terms and conditions are acceptable to your institution, organisation or company and you have the authority to make the financial commitment shown.

Licence Type

This Site licence is subject to the terms and conditions for the Standard Chest Licence for Online Resources. Please see the bottom of the page for exceptions to these terms.

Payment Terms

On receipt of a completed Order, Institutions will be invoiced for the options chosen

There is no pro-rata charging for Institutions which become licensed partway through a licence year.

Chest is an Enterprise of Jisc. All Purchase orders must be made out to Jisc, 4 Portwall Lane, Bristol, BS1 6NB to cover all charges plus VAT.

All terms contained in a PO are expressly rejected and do not form part of the Licence or vary the Licence terms in any way.

Payments are due within thirty days of invoice date; recipients of late payments are entitled to interest in accordance with UK statutory provisions.

The resources can be used for Educational Purposes – defined as:

• education
• teaching
• distance learning
• private study
• academic research
• administration and management of the Licensee’s educational or research operations

Exclusions:

• See the licence for any exclusions and restrictions
• The resources may not be used for anything other than Educational Purposes unless the Licence Extension for Commercial Projects has been bought; this allows use for the restricted “Commercial Projects” defined – see Annex B of the Licence (Licence Extension for Commercial Projects)
• Downloading of large amounts of material by authorised users that might be considered ‘systematic’.

Termination Clauses

Subject to any Fee shown on the Website, the Licensee may retain an electronic copy of the Licensed Material in its archives for reference only.  Copies of parts of the Licensed Material already made and/or used by the Licensee or Authorised may be retained and used in accordance with the terms of this Licence Agreement.

It is the intention of Eduserv and <Supplier> to renew this <n> year Agreement. If the Agreement is renewed or extended, then new conditions may apply. If the Agreement is not renewed, then any extension is a matter between institutions and <Supplier>.

Personal Licences

Personal licences are not available.

Exceptions to the Terms and Conditions

The following amendments to the Terms and Conditions for the Standard Chest Licence for Online Resources applicable to this Licence: Terms 2.2(a) and 2.2(k) are deleted. Therefore you may not: make such temporary local electronic copies of the Licensed Material as are necessary for the efficient use by Authorized Users in accordance with the terms and conditions of this Licence Agreement; nor: deposit in perpetuity for subsequent reference, the learning and teaching objects referred to in clause 2.2 (j) in repositories operated by the Licensee through Secure Access and/or in centrally controlled repositories such as the JORUM Repository established by UK funding authorities.

Products and Pricing

Prices are in Euros (you may request to be billed in GBP or Euro’s when ordering).

VAT: From 1 May 2020:

• Zero rate VAT applies to Thieme Journals Backfiles

Additional discounts

If you have previously purchased access to individual years included within the backfile(s) being ordered, a further discount will be applied. This will be a percentage proportionate to the number of years of the backfile previously purchased set against the number of years included in the backfile. For example, where a backfile includes 20 individual years, and you have already purchased access to two of those years, the discount shall be 2/20 (10%) of the Fee. The additional discounts will be calculated after all other discounts as listed in the tables have been applied.

If you are eligible to claim an additional discount, please contact Chest Help by email with a list of the name(s) of the backfile(s) you are purchasing and the years to which you have already purchased access.

Chest Help will liaise with the Licensor to obtain confirmation before approving your order and the final price.

Multi-purchase discounts:

• Where 10 or more titles are purchased a discount of 15% off the Fees shown above shall be applied.
• Where between 5 and 9 titles are purchased a discount of 10% off the Fees shown above shall be applied.
• Where 2, 3 or 4 titles are purchased a discount of 5% off the Fees shown above shall be applied.
