Important Dates

Agreement start: 1 October 2025

Agreement end: 20 September 2030

Subsequent invoice date: Annually, three months in advance of the anniversary of licence start date

Commitment Period

Institutions will be committed to the licence for a one, three or five year period. Institutions may participate at any time during the five year period; however, they will be bound by the Terms and Conditions of the Agreement, including payments, until the end of their chosen commitment period. There is an opportunity to opt out of the commitment period by giving notice. Details are provided on the Terms and Conditions tab.

Eligible Institutions

This Agreement is open to Institutions of Higher and Further Education and Research Councils in the United Kingdom, to Universities and Colleges of Further Education in the Republic of Ireland, and to Associated Sites.

Other UK organisations aligned with Chest's charitable objectives of supporting education, research bodies and the public sector may ask to participate in the Agreement. Chest will liaise with the Supplier about any such requests.

Inkpath is a skills and career development platform used by universities and professional membership organisations. Our app has been called ‘Fitbit for your career’. Alongside an app through which end users can plan and measure their professional development, the platform offers organisations a highly configurable administration and management portal. With this portal they may manage professional development opportunities and activities for their personnel, delivering a truly bespoke experience for them, conveyed via their own institutional messaging and brand identity.

Inkpath uniquely blends the benefits of a Software as a Service platform, such as ease of adoption and centralised support, with the configurability and tailorable nature of software which has been developed from a foundation of deep sector knowledge and insight. Our clients love the fact that Inkpath is always evolving, and that our company values constant research and development highly: essential given the complex and fluid policy, regulatory and technological environments enveloping universities and other such organisations.

Because the platform offers rich data analytics and APIs for data export, clients using Inkpath have been able to analyse their professional development offerings in unprecedented detail and gain insights in seconds which would previously have taken months. They have also been able to demonstrate and quantify considerable time savings across diverse constituencies of users, of the order of many weeks’ administrations time saved per year.

Terms and Conditions

The Chest Order, together with the Licence Terms and Conditions, and any exceptions listed below, create a legally binding contract between your institution, organisation or company and the Licensor. Therefore please read the terms and conditions carefully and only submit a Chest Order if its terms and conditions are acceptable to your institution, organisation or company and you have the authority to make the financial commitment shown.

Licence Type

This licence is subject to the terms and conditions for the Software as a Service (SaaS) licences please read these terms and conditions carefully and only submit an order if they are acceptable to your organisation.

Payment Terms

On receipt of a completed Chest Order sites will be invoiced for the Agreement year in which the licence is signed, additional add-ons will be pro-rated to match initial contract. For each subsequent year, sites will be invoiced three months in advance of the Licence anniversary date.

Chest is an Enterprise of Jisc. All Purchase orders must be made out to Jisc Services Ltd, 4 Portwall Lane, Bristol, BS1 6NB to cover all charges plus VAT.

All terms contained in a PO are expressly rejected and do not form part of the Licence or vary the Licence terms in any way.

Payments are due within thirty days of the invoice date; recipients of late payments are entitled to interest in accordance with UK statutory provisions.

Termination Clauses

At the end of a licence period, Access will be removed for all users; data are downloadable via the Administration Portal.

Standard Opt-out for annual commitments.
Annual agreements that renew have a 60-day opt-out clause applied as standard. If an institution does not op-out 90 or more days prior to the renewal date, then the agreement will automatically be renewed, and they will be invoiced.

Financial Difficulties opt-out for multi-year commitments.
The Institution shall have the right to terminate this Licence during the Subscription Period if sufficient funds are not provided or allotted in future budgets of the Institution to permit the Institution to continue this Licence.

In the event no funds or insufficient funds are apportioned or allotted in the budget of the Institution in the fiscal period prior to the due date for payments under this Licence, the Institution will give not less than 90 days’ written notice, such notice to expire on at the end of the relevant Subscription Year. Termination shall be without penalty of expense to the Institution of any kind whatsoever. Save for the eventuality as set out above, it is the Institution’s intent to make payments for the full term of this Licence.

Depending on the Publisher or supplier, further correspondence might be required, such as a letter on official letterhead from the Head of Library or other relevant position within the institution e.g. Pro Vice-Chancellor, Head of Procurement etc., confirming financial hardship as the reason for cancellation.

This will be passed on to the supplier as supporting evidence for the cancellation being processed.

Location and Use Permissions

The product(s) may be used by any Authorised User of the Licensee for Educational Purposes which includes the administration and management of the licensee’s educational and research operations. These permissions are described in the terms and conditions for the Standard Chest Licence for Software.
