Terms and Conditions

The Chest Order, together with the Licence Terms and Conditions, and any exceptions listed below, create a legally binding contract between your institution, organisation or company and the Licensor. Therefore please read the terms and conditions carefully and only submit a Chest Order if its terms and conditions are acceptable to your institution, organisation or company and you have the authority to make the financial commitment shown.

Licence Type

The Terms and Conditions for the Standard Chest Licence for Software apply to the use of Sciwheel.

There are changes and exceptions to these Terms and Conditions that are given at the bottom of the page.

Payment Terms

On receipt of a completed Order, Institutions will be invoiced for the Agreement year in which the Licence is signed. The initial Licence term is from the Licence Commencement Date until the following 30 September.There is monthly
prorating of Fees for a Licence purchased part-way through a Licence term.

In subsequent years, Institutions will be invoiced three months in advance of the anniversary date of the Agreement, on 1 July 2020 and 2021. 

There is monthly pro-rata charging for Institutions which become licensed partway through a licence year. 

Chest is an Enterprise of Jisc. All Purchase orders must be made out to Jisc, 4 Portwall Lane, Bristol, BS1 6NB to cover all charges plus VAT.

All terms contained in a PO are expressly rejected and do not form part of the Licence or vary the Licence terms in any way.

Payments are due within thirty days of invoice date; recipients of late payments are entitled to interest in accordance with UK statutory provisions.

What can authorised users do?

The resources can be used for Educational Purposes:

  • education
  • teaching
  • distance learning
  • private study
  • academic research
  • administration and management of the Licensee’s educational or research operations

Exclusions

  • The resources may not be used for anything other than Educational Purposes
  • Downloading of large amounts of material by authorised users that might be considered ‘systematic’.

Termination Clauses

The Fee for early termination in accordance with clause 10.4 of the Terms and Conditions for the Standard Chest Licence for Online Resources is nil.

Subject to any Fee shown on the Website, the Licensee may retain an electronic copy of the Licensed Material in its archives for reference only.  

Copies of parts of the Licensed Material already made and/or used by the Licensee or Authorised Users in accordance with clause 2.2 may be retained and used in accordance with the terms of this Licence Agreement – see Licence Term 10.5.

Opt out rights and notice period
Sites may opt out by giving notice on or before 1 July annually – i.e. 1 July 2020 and 2021.

Personal Licences

Personal licences are not available.

Exceptions to the Terms and Conditions

  1. Term 10.4 of the Standard Chest Licence is amended such that ninety (90) rather than sixty (60) days’ prior written notice of termination must be given.
  2. Alumni use is not allowed under the standard licence and is not included in the Fee. The Terms and Conditions for the Standard Chest Licence for Online Resources are therefore amended by the deletion of term/definition 1.1(a)(iv). The Terms and Conditions for the Standard Chest Licence for Software are also therefore amended by the deletion of the text of term/definition 1.1(a)(iii) and its replacement by the following: “Any other person (excluding alumni) authorised by the Licensee to have controlled access from the UK or Republic of Ireland to the Licensee’s information systems.” Please note that this means that alumni are specifically excluded form the definition “Authorised Users”.

Changes to the Terms and Conditions for the Standard Chest Licences for Software tha apply to Sciwheel.

  1. The same right of early termination that applies to F1000Prime shall apply also to F1000Workspace (see 1 above) and shall be considered incorporated into the Terms and Conditions for the Standard Chest Licences for Software. By giving the Licensor not less than ninety (90) days’ prior written notice and paying any termination fee shown above, the Licensee may terminate this Licence Agreement without cause on any anniversary of the commencement date as shown on the order confirmation.
  2. Alumni use is not allowed under the standard licences and is not included in the Fee. Please see 2 above.
  3. The title “Terms and Conditions for the Standard Chest Licences for Software” is amended to “Terms and Conditions for the Standard Chest Licences for Software as a Service”.
  4. A new Definition 1.1(i) is introduced: “Service” means the service accessible via the internet shown on the Order which includes the related documentation, support services and training materials set out in the Specification.
  5. Current Definition 1.1(i) is relabelled Definition 1.1(j) and amended to read: “Software” means software used by the Licensor to provide the Service.
  6. Current Definition 1.1(j) is relabelled Definition 1.1(k) and amended to read: “Specification” means the detailed description of the Service published on the Website.
  7. Current Definition 1.1(k) is relabelled Definition 1.1(l).
  8. Term 2.1 is amended to read: In consideration of the Fee and subject to the terms and conditions of this Licence Agreement, including without limitation clause 4.3, the Licensor grants the Licensee a non-exclusive and non-transferable right for research and Educational Purposes to access and use the Service and to allow Authorised Users to access and use the Service for the term set out on the Order.
  9. Term 2.2(a) is not applicable and the wording replaced with: Not Used.
  10. Term 2.2(b) is amended to read: Allow Authorised Users to access and use the Service.
  11. Term 2.2(c) is amended to read: Allow “home use” of the Service unless stated otherwise on the Order. “Home use” means that Students and Staff may access the Service on their own computer only for their own use and only for Educational Purposes.
  12. Term 2.2(d) is amended to read: Allow Authorised Users to download and/or print out copies of the documentation supplied with and forming part of the Service for training purposes.
  13. Term 2.2(e) is not applicable and the wording replaced with: Not Used.
  14. Term 2.4 is amended to read: This Licence Agreement does not assign or transfer to the Licensee any right, title or interest to the Intellectual Property Rights in the Service or the Software except for the right to use the Service and Software in accordance with the terms and conditions of this Licence Agreement.
  15. Term 3.1(d) is amended to read: (The Licensee and Authorised Users may not) use the Service or Software other than for Educational Purposes.
  16. Term 4.1(c) is amended. The first sentence shall be now deemed to read: (The Licensee will) use all reasonable efforts to ensure compliance by Authorised Users with the terms of this Licence Agreement and with the Licensee’s security processes and to prevent and monitor for unauthorised use of the Service or Software.
  17. An additional Term 4.1(f) is added as follows: (The Licensee will) “be responsible for the provision of and payment for the computer equipment and telecommunication services necessary to access the Service via the Internet.”
  18. An additional Term 4.3 is added as follows: “The Licensee acknowledges; that some parts of the Service include software that must be downloaded and installed by Authorised Users; and the acceptance of terms and conditions imposed by the licensors of such software prior to being able to use such software and the Services associated therewith.”
  19. In Term 5.1(i) the words “phone and” shall be deleted
  20. In Term 5.3 the word “Software” shall be replaced by the word “Service”.
  21. Term 9.4 is amended to read as follows: “Except in the case of perpetual licences, upon termination of this Licence Agreement, the Licensee shall promptly cease to use the Service, and de-install all copies (if any) of the Software. The Licensee will allow the Licensor reasonable access to verify compliance with the foregoing obligation.”
  22. Notices may not be given by email. Term 15.1(c) is not applicable and the wording replaced with: Not Used.
  23. The second sentence of Term 17.4 is deleted.
  24. The Standard Chest Software Licence Annex (Home Use Undertakings) is deleted.

Sciwheel Pricing is based on the FTE (Full Time Equivalent) count for the entire institution, research and academic personnel and students.

Subscribing to Faculty Opinions at the same time attracts a 15% discount.

Subscription Year: 1 October - 30 September
